Twitter isn't ready to accept billionaire Elon Musk's offer to buy the social media company and take it private. Instead, the company revealed today that it’s fighting Musk’s takeover bid by adopting a "poison pill" defense.

A poison pill defense (more formally known as a shareholder rights plan) dilutes a company's shares, making it more difficult and costly to buy. Read more about how the tactic works.

Musk is also no longer Twitter's largest shareholder. According to a recent SEC filing, Vanguard Group said its funds now own a 10.3% stake, which is worth $3.6 billion as of Friday's close.

This morning, Elon Musk offered to buy Twitter outright for $43 billion. "Twitter has extraordinary potential. I will unlock it," he told Twitter's chairman in a letter. Read his full letter here.

In the letter, Musk appeared to threaten to sell his 9.2% stake in the company if it rejects his audacious offer. Musk has said he has a “Plan B” if his offer is rejected, but he has not explained further.

Musk’s offer came under the guise of advocating for free speech. But Insider’s Linette Lopez argues that this offer actually has nothing to do with high-minded ideals. Instead, she says, it’s an attempt to menace the company into behaving more like him.
